1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and S7 Lab, Inc. ("S7 Lab," "we," "us") governing your use of our platform and related services (the "Services"). By creating an account or using our Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

To use our Services, you must: (a) be at least 18 years old; (b) be a HIPAA Covered Entity or Business Associate, or an authorized representative thereof; and (c) have authority to enter into binding agreements on behalf of your organization.

3. Account Registration

You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at legal@s7-lab.health if you suspect unauthorized access.

4. Description of Services

S7 Lab provides AI-powered automation services for medical billing and healthcare administration ("Services"). We may modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

5. HIPAA Compliance

If you are a HIPAA Covered Entity or Business Associate, your use of the Services is also governed by our Business Associate Agreement ("BAA"), which you accepted during registration. In the event of a conflict between these Terms and the BAA regarding Protected Health Information, the BAA controls.

6. Fees and Payment

The Services may include free and paid tiers. Free tier accounts are subject to usage limits displayed in your account. For paid plans, fees are as stated at the time of purchase. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice; continued use after that constitutes acceptance.

7. Subscription Terms

Billing Cycles. Paid subscriptions are offered on either a monthly or annual billing cycle, as selected at the time of purchase. Billing begins on the Effective Date specified in your Order Form and recurs automatically on the same day of each subsequent billing period.


Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with this Section. We will charge the payment method on file at the then-current rate. You authorize us to charge all fees to your designated payment method.


Cancellation - Monthly Plans. Monthly subscriptions may be cancelled at any time through your account settings or by contacting us at contact@s7-lab.health. Upon cancellation, your subscription will remain active until the end of the current billing period, after which no further charges will be made. No refunds or credits will be issued for partial months.


Cancellation - Annual Plans. Annual subscriptions represent a commitment for the full twelve-month term and may not be cancelled during the commitment period. No refunds will be issued for annual plans. You may elect not to renew by notifying us at least thirty (30) days prior to the renewal date.


Credits. Credits included in your subscription plan expire at the end of each billing cycle and do not roll over to subsequent periods unless otherwise specified in writing. Unused credits have no cash value and are non-refundable.


Plan Changes. You may upgrade your subscription plan at any time, effective immediately. Upgrades will be prorated for the remainder of the current billing period. Downgrades take effect at the start of the next billing period; no refunds are issued for the current period.


Payment Failure. If we are unable to process payment, we will notify you and provide a seven (7) day grace period to update your payment information. If payment is not received within the grace period, we may suspend access to the Services until payment is made. Continued non-payment for thirty (30) days constitutes a material breach and we may terminate your account.

8. Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) upload PHI without proper authorization under HIPAA; (c) attempt to reverse engineer, decompile, or access the source code of our platform; (d) interfere with or disrupt the Services; (e) share account credentials or allow unauthorized access; (f) use the Services to transmit malware or conduct attacks; or (g) resell the Services without our written consent.

9. Intellectual Property

The Services, including all software, algorithms, designs, and documentation, are owned by S7 Lab and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during the term of your account. You retain ownership of data you upload, subject to the licenses granted herein and in the BAA.

10. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us a royalty-free, worldwide, perpetual license to use, modify, and incorporate such feedback without obligation to you.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, S7 LAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

The Services are tools to assist with medical billing workflows. They do not constitute medical advice, legal advice, or a guarantee of approval. You are solely responsible for all clinical and business decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S7 LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO S7 LAB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless S7 Lab and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law.

14. Termination

Either party may terminate these Terms at any time. You may terminate by closing your account. We may terminate or suspend your access immediately for violation of these Terms or for any reason with 30 days' notice. Upon termination, your right to use the Services ceases immediately. Sections 8, 10, 11, 12, and 14 survive termination.

15. General Provisions

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Disputes. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of such courts.

Amendments. We may modify these Terms by posting the revised version and notifying you via email. Continued use after notice constitutes acceptance.

Severability. If any provision is found unenforceable, the remaining provisions continue in effect.

Entire Agreement. These Terms, together with the BAA and Privacy Policy, constitute the entire agreement between you and S7 Lab regarding the Services.

Assignment. You may not assign these Terms without our consent. We may assign these Terms to any successor or acquirer.

No Waiver. Our failure to enforce any right does not waive that right.
